By accessing and using the Flat Ribbon website (www.flatribbon.com, hereinafter referred to as the “Website”), you (hereinafter referred to as “User” or “you”) agree to be bound by these Terms of Service (hereinafter referred to as the “Terms”). Please read these Terms carefully before using the Website. If you do not agree to these Terms, you should not access or use the Website.

By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any future modifications or updates.

2. Description of Services:

The Flat Ribbon Website serves as a hub for information and services related to Flat Ribbon, an electronics repair shop servicing the Eastern Kentucky area. Through the Website, Users can:

  • View Pricing: Access information about our repair service costs and potentially the prices of goods we offer.
  • Contact Us: Reach out to Flat Ribbon via contact forms or provided contact information.
  • Schedule Consultations: Request and schedule in-person or over-the-phone diagnostic consultations for electronic device repairs.
  • Browse Our Online Shop: View and purchase digital goods (such as software and video games) and physical goods (such as computer accessories).
  • Purchase Goods and Services: Make payments for repair services, diagnostic consultations, and goods offered through the online shop.
  • Create an Account: Register for a user account to track purchases and repair progress.

3. Online Shop Terms and Conditions:

  • Product Descriptions: We strive to provide accurate descriptions of all goods offered in our online shop. However, we do not warrant that product descriptions or other content are error-free.
  • Pricing: Prices for goods and services are subject to change without notice. All prices are listed in US Dollars unless otherwise specified.   
  • Orders and Acceptance: Your order constitutes an offer to purchase the products or services listed. We may accept or reject your order at our discretion. An order confirmation email signifies our acceptance of your order.   
  • Digital Goods: Upon purchase, digital goods will be made available to you as described at the time of purchase (e.g., download link, license key). Your use of digital goods is subject to any applicable End User License Agreements (EULAs).
  • Physical Goods:
    • Shipping: For physical goods, shipping costs and estimated delivery times will be provided during the checkout process. We will make reasonable efforts to ship your order within the timeframe specified, but delivery dates are estimates and not guaranteed.
    • Risk of Loss: The risk of loss and title for physical goods pass to you upon our delivery to the carrier.
    • Returns and Exchanges: Our return and exchange policy for physical goods is outlined on a separate page.
  • Payment: By placing an order, you authorize us to deduct funds from your wallet on Flat Ribbon for the total amount of your order (including applicable taxes and shipping fees). Funds are loaded via PayPals secure payment gateway, your card information is not stored on Flat Ribbon.

4. Pricing and Payment for Repairs and Consultations:

  • Repair Pricing: Information regarding repair pricing is provided for informational purposes and may be subject to change. The final quoted price for repair services will be provided during the diagnostic consultation or as otherwise communicated to you.
  • Diagnostic Consultation Fee: The fee for an in-person diagnostic consultation is $30.00 for consumer, and $50 for business clients, payable before the consultation takes place. Payment can be made through the Website or as otherwise agreed upon.
  • Repair Payments: Payment for completed repair services is due as outlined in your Repair Agreement. Payments can be made through the Website or via other agreed-upon methods.

5. User Accounts:

  • Account Creation: To access certain features of the Website, such as order history and repair progress tracking, you may be required to create an account. You are responsible for providing accurate and complete information during the registration process.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You agree to notify Flat Ribbon immediately of any unauthorized access to or use of your account.
  • Account Termination: Flat Ribbon reserves the right to suspend or terminate your account at any time for any reason, including but not limited to a violation of these Terms.

6. Intellectual Property:   

All content on the Website, including but not limited to text, graphics, logos, images, videos, software, and the design and layout of the Website, is the property of Flat Ribbon or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, display, or otherwise use any content from the Website without the prior written consent of Flat Ribbon.

7. User Content (If Applicable):

If the Website allows Users to post, upload, or otherwise submit content (e.g., reviews, comments), you grant Flat Ribbon a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. You represent and warrant that you own or otherwise control all of the rights to the content you submit and that the content is accurate, not misleading, and does not violate these Terms or the rights of any third party.   

8. Disclaimers:

THE WEBSITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TOWARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. FLAT RIBBON DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY PRICING OR SERVICE INFORMATION PROVIDED ON THE WEBSITE IS FOR INFORMATIONAL PURPOSES ONLY AND MAY NOT BE EXACT.   

9. Limitation of Liability:

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FLAT RIBBON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE OR ANY GOODS OR SERVICES PURCHASED THROUGH THE WEBSITE, EVEN IF FLAT RIBBON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FLAT RIBBON’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO FLAT RIBBON, IF ANY, IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.   

10. Indemnification:

You agree to indemnify, defend, and hold harmless Flat Ribbon, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your breach of these Terms, your use of the Website, or your violation of any law or the rights of a third party.   

11. Governing Law:

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of laws principles.

12. Changes to Terms:

Flat Ribbon reserves the right to modify or update these Terms at any time without prior notice. Any changes will be effective immediately upon posting on the Website. Your continued use of the Website after the posting of revised Terms constitutes your acceptance of the changes. It is your responsibility to review these Terms periodically for updates.
