Flat Ribbon LLC – Device Protection Plan Terms of Service

1. AGREEMENT TO TERMS
This Terms of Service (“Terms”) constitutes a legally binding agreement made between you, the customer (“You,” “Your,” “Customer”), and Flat Ribbon LLC (“Company,” “We,” “Us,” “Our”), concerning your access to and participation in our Device Protection Plans (“Protect Basic” and “Protect Plus,” collectively the “Plan” or “Plans”). By enrolling in a Plan, you agree that you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM ENROLLING IN THE PLAN AND YOU MUST DISCONTINUE USE IMMEDIATELY.
We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the “Last Updated” date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates. Your continued participation in the Plan after the date such revised Terms are posted will be subject to, and deemed to have been made aware of and accepted, the changes in any revised Terms.
2. DEFINITIONS
- Covered Device: An eligible Smartphone, Tablet, or Computer owned by you and registered under the Plan. Eligibility may be subject to inspection or limitations based on device age or condition at the Company’s discretion.
- Plan: Refers to either the Protect Basic or Protect Plus subscription service offered by Flat Ribbon LLC.
- Billing Cycle: The monthly period for which you pay the Plan Fee.
- Plan Fee: The recurring monthly charge for your selected Plan ($5.00 for Protect Basic, $10.00 for Protect Plus), plus applicable taxes.
- Deductible: The amount you must pay for each covered Repair service ($20.00 for Protect Basic, $25.00 for Protect Plus), plus applicable taxes.
- Repair: Services performed by Flat Ribbon LLC to correct a covered hardware malfunction of the Covered Device. This Plan primarily covers hardware failures under normal usage conditions. Specific inclusions and exclusions apply (See Section 5).
- Effective Date: The date your Plan enrollment is confirmed by Us, subject to the Waiting Period.
- Waiting Period: A one (1) calendar month period starting from your initial enrollment date, during which no Repair claims can be made under the Plan.
3. PLAN DETAILS
You may choose one of the following Plans:
a) Protect Basic Plan
* Monthly Fee: $5.00 plus applicable taxes.
* Total Devices: One (1) covered device
* Deductible per Repair: $20.00 plus applicable taxes.
* Repair Limit: Maximum of two (2) covered Repairs per rolling 12-month period.
* Repair Frequency: Subsequent Repairs must occur no less than four (4) calendar months after the completion date of the previous Repair.
* Transferability: You may transfer the Plan coverage to a new Covered Device once per rolling 12-month period. The original device will no longer be covered.
b) Protect Plus Plan
* Monthly Fee: $10.00 plus applicable taxes.
* Total Devices: Two (2) covered devices
* Deductible per Repair: $25.00 plus applicable taxes.
* Repair Limit: Maximum of three (3) covered Repairs per rolling 12-month period.
* Repair Frequency:Subsequent Repairs must occur no less than two (2) calendar months after the completion date of the previous Repair.
* Transferability: You may transfer the Plan coverage to a new Covered Device once per rolling 12-month period. The original device will no longer be covered.
4. COVERED DEVICES
- Basic Plan covers one (1) device. Plus Plan covers two (2) devices. Customers choice of designated Smartphone, Tablet, or Computer with Flat Ribbons approval.
- You must provide the make, model, and serial number (or IMEI for phones/tablets) of the device(s) to be covered upon enrollment.
- The Company reserves the right to verify the device’s operational status at the time of enrollment or transfer. Pre-existing conditions are not covered.
5. COVERAGE & EXCLUSIONS
- What IS Generally Covered: Hardware failures resulting from normal use, such as malfunctioning internal components, cracked screen (if device is unusable), failing battery, failed charging port, water damage*.
- What is NOT Covered (Exclusions): This Plan DOES NOT cover:
- Cosmetic damage (scratches, dents, cracked casing that doesn’t affect functionality).
- Damage caused by abuse, misuse, neglect, liquid spills.
- Software issues, including operating system problems or data recovery.
- Consumable parts (e.g., batteries that have naturally degraded over time, ink cartridges).
- Accessories (chargers, cables, cases, keyboards, mice, etc.).
- Pre-existing conditions known to you before the Plan’s Effective Date (post-Waiting Period).
- Devices with altered, removed, or defaced serial numbers/IMEIs.
- Repairs performed by anyone other than Flat Ribbon LLC or its authorized technicians.
- Theft or loss of the device.
- Damage occurring during the initial one-month Waiting Period.
6. ENROLLMENT, WAITING PERIOD, AND SERVICE REQUESTS
- Enrollment: You can enroll in a Plan at any time by contacting Flat Ribbon. Payment of the first Plan Fee is required at enrollment.
- Waiting Period: There is a mandatory one (1) calendar month Waiting Period starting from your confirmed enrollment date. You are not eligible to make a Repair claim under the Plan during this Waiting Period.
- Requesting Service: To initiate a Repair claim after the Waiting Period, you must contact Flat Ribbon LLC via online (chat, call), phone, or email. You will need to present the Covered Device for diagnosis. If the issue is determined to be covered under your Plan, you must pay the applicable Deductible before Repair work commences.
7. FEES, PAYMENTS, AND TAXES
- You agree to pay the monthly Plan Fee plus applicable taxes for your selected Plan via the payment method provided at enrollment.
- Fees are billed monthly in advance via subscription on or around the same day each month corresponding to your enrollment date.
- You agree to pay the applicable Deductible plus applicable taxes for each covered Repair service performed under the Plan.
- Failure to pay the monthly Plan Fee may result in suspension or cancellation of your Plan. Failure to pay the Deductible will prevent the Repair service from being performed under the Plan terms.
8. CANCELLATION
- By You: You may cancel your Plan at any time by notifying Flat Ribbon LLC via online (chat, call), phone, or email. Your cancellation will be effective at the end of your current paid Billing Cycle. You will remain covered and entitled to Plan benefits until the last day of that Billing Cycle. No refunds will be provided for partial months.
- By Us: We may cancel your Plan with reasonable notice for reasons including, but not limited to, non-payment of fees, fraud or misrepresentation, exceeding repair limits, or violation of these Terms. If We cancel for reasons other than non-payment or fraud, coverage will typically continue until the end of the current paid Billing Cycle.
9. DISPUTES AND CHARGEBACKS
- You agree that the monthly Plan Fees and the per-Repair Deductibles are valid charges for the services and coverage provided under this Agreement.
- If you enroll in a Plan, satisfy the one (1) month Waiting Period, receive a covered Repair service for which you pay the Deductible, and subsequently initiate a chargeback or dispute a valid Plan Fee or Deductible payment with your bank or credit card company, you acknowledge and agree to the following:
- Your participation in the Plan may be immediately terminated.
- You will forfeit any benefits or discounts received under the Plan for the disputed Repair service.
- You will become immediately liable to Flat Ribbon LLC for the full, non-discounted retail price of the Repair service performed, plus any applicable taxes.
- Flat Ribbon LLC reserves the right to pursue collection of this full amount, including using collection agencies and/or initiating legal action, such as filing a claim in small claims court.
- You agree to be responsible for all costs associated with collecting this debt, including but not limited to collection agency fees, court costs, and reasonable attorney’s fees, as permitted by law.
10. PLAN TRANSFERABILITY
- Both Protect Basic and Protect Plus Plans allow for one (1) transfer of coverage to a different eligible device (Smartphone, Tablet, or Computer) per rolling 12-month period.
- To initiate a transfer, you must notify Flat Ribbon LLC and provide the details of the new device. The old device will cease to be covered immediately upon successful transfer.
- The transfer is subject to Company approval and potential inspection of the new device. The Waiting Period does not re-apply upon transfer. The 12-month period for transfer eligibility resets on the date of the successful transfer.
11. LIMITATION OF LIABILITY
- TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLAT RIBBON LLC AND ITS EMPLOYEES, OFFICERS, DIRECTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS PLAN OR THE SERVICES PROVIDED.
- UNDER NO CIRCUMSTANCES WILL FLAT RIBBON LLC BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.
- FLAT RIBBON LLC ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICE; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY; AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICE.
- IN NO EVENT SHALL FLAT RIBBON LLC, ITS EMPLOYEES, AGENTS, DIRECTORS, OR OFFICERS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO COMPANY HEREUNDER IN THE 12 MONTHS PRIOR TO THE CAUSE OF ACTION ARISING OR THE COST OF THE SPECIFIC REPAIR IN QUESTION, WHICHEVER IS LESSER.
- THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF FLAT RIBBON LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
- Data Loss: Flat Ribbon LLC is not responsible for any loss, corruption, or compromise of data stored on your Covered Device. It is solely your responsibility to back up all software and data before seeking Repair service, unless discussed otherwise.
12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Flat Ribbon LLC and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Plan, including any data or content transmitted or received by you; (ii) your violation of any term of this Agreement; (iii) your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights; (iv) your violation of any applicable law, rule or regulation; or (v) any negligent or willful misconduct.
13. GOVERNING LAW
These Terms shall be governed and construed in accordance with the laws of the State of Kentucky, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Johnson County, Kentucky for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of our copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights, as set forth in the Dispute Resolution provision below including any provisional relief required to prevent irreparable harm.

15. ACKNOWLEDGEMENT
BY ENROLLING IN THE PROTECT BASIC OR PROTECT PLUS PLAN, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.
